CREDIT OF FIFTY (50) STARS AND GIFT FOR NEW LAS ROZAS VILLAGE MEMBERSHIP MEMBERS

THE FOLLOWING TERMS AND CONDITIONS SHALL APPLY TO NEW LAS ROZAS VILLAGE MEMBERSHIP MEMBERS IN THE CIRCUMSTANCES EXPRESSLY SET OUT BELOW:

1. The Organiser is Value Retail Management Spain, S.L.U., with Tax Identification Number (NIF) B-60.689.486 (hereinafter, the “Organiser” or “Las Rozas Village”, interchangeably), the entity that manages Las Rozas Village (the “Village”). The Organiser may be contacted at its registered office at La Roca Village, La Roca del Vallès, 08430 (Barcelona).
2. The Organiser sets out below the terms and conditions governing the direct credit of fifty (50) Stars for registration in the Village Membership programme and the provision of a gift (the “Terms and Conditions” and the “Promotion”), aimed exclusively at new members who register for the Village Membership programme between 10 November and 30 November 2026, both dates inclusive.

Upon registration, new Membership members will receive a direct credit of fifty (50) Stars to their Village Membership account. To receive the gift, in addition to registering, new members must make at least one (1) purchase or transaction at the Village, i.e. at one (1) Village establishment or boutique, for a minimum value of one hundred and twenty euros (€120), between 10 November and 30 November 2026, both dates inclusive (the “Promotion Period”). The purchase may be made at any establishment or boutique within the Village. 3. To participate, participants must not have previously been registered for Membership and must therefore register as new members during the Promotion Period. Once registration has been completed, account merging will not be permitted under any circumstances. Each account must remain separate and linked exclusively to the details with which it was created. 4. The gift consists of one “Casita TEDDY” Advent Calendar from the Lindt boutique, with a value of eleven euros and ninety-nine cents (€11.99), and the direct credit of fifty (50) Stars to the newly registered Membership account (the “Advent Calendar” and the “Stars”) (jointly, the “Gift”). The Advent Calendar will be provided to eligible customers on a first-come, first-served basis at the collection point, while stocks last. 5. To collect the Gift, the Membership member must present, in addition to their personal Membership code, the email received following the purchase to the staff at the Village’s Lindt boutique, which the customer must visit in person to collect their Gift. The Gift may be collected no later than 30 November 2026, provided that stocks have not been exhausted. Accordingly, Membership members entitled to the Gift who do not collect it by 30 November 2026 will forfeit their right to the Gift. 6. The Gift may not, in whole or in part, be transferred or exchanged for its cash value or for alternative gifts, even those of a lower value. 7. The Gift does not extend to any other item or expense not expressly specified herein, including, by way of example and without limitation, the following exclusions: a. Meals and allowances; b. Transfers; c. Taxes and charges, including those arising from the Gift and any tourist tax. 8. Only one registration per person will be permitted during the Promotion Period. A new email address that has not previously been registered with Membership must be used for this purpose. 9. The following persons may not participate and will therefore not be entitled to the Gift: a. Persons under the age of 18; b. The shareholders, directors and employees of the Organiser, La Roca Village, Las Rozas Village or any other company within the group of companies operating under The Bicester Collection concept; the agencies involved in the Promotion; suppliers; direct or indirect collaborators who have participated in its preparation; as well as the children and immediate family members of all of the foregoing. If, for any reason, a person listed in the preceding paragraph becomes a beneficiary, the Organiser may remove/disqualify the participant and withdraw/invalidate the Gift on the grounds that the eligibility requirements have not been met. Any attempted fraud may be pursued by the Organiser and, for this purpose, the Organiser reserves the right to take any action available to it in order to claim compensation for damages and exercise any other rights to which it may be entitled. In any event, the Organiser shall not be held liable for fraudulent participation by third parties or for any improper practices by third parties outside the Organiser's control in connection with the Promotion and its implementation. 10. The Organiser shall not be liable for cases of force majeure or for events that are not directly attributable to it and that may prevent recipients from enjoying all or part of their Gift. The Organiser accepts no responsibility for entries that are not successfully completed due to technical faults, computer hardware or software failures, or any kind of satellite, network or server failure. 11. The Organiser reserves the right to replace the Gift with one or more alternative gifts of equal or greater value if this becomes necessary due to circumstances beyond the Organiser's control. 12. Mere participation in the Promotion constitutes full acceptance of these Terms and Conditions and implies that the participant has read and understood them and expressly accepts their entire content, without reservation or limitation. The Organiser reserves the right to amend or cancel the conditions of the Promotion at any time and undertakes to communicate any new Terms and Conditions, amended conditions or definitive cancellation, as applicable. In particular, if, due to circumstances of force majeure beyond the Organiser’s control, Las Rozas Village has to be closed to the public and the Promotion therefore cannot take place, the participant shall not be entitled to make any claim against the Organiser. 14. The participant acknowledges and accepts that the Organiser provides no warranties in relation to the Gift awarded or provided. 15. In compliance with applicable legislation, where applicable, the Organiser will make the corresponding withholding and payment on account of Personal Income Tax in respect of the recipients of each Gift and will report the Gift provided in the corresponding tax forms. Any tax implications arising for the recipient as a result of receiving the Gift shall be borne by the recipient, and the Organiser shall be released from any liability in this regard. 16. Recipients agree and authorise the publication of their name and/or image while collecting their Gift on the Organiser’s website and social media channels, should the Organiser deem it appropriate, as well as on any other commercial or advertising medium or communication channel that the Organiser may use or contract, whether internal or external, for the purpose of communicating and publicising the outcome of the Promotion. Such authorisation is granted solely for this purpose, on a non-exclusive and non-transferable basis. The recipient agrees to participate, on reasonable terms, in any subsequent promotional initiatives that the Organiser may request. 17. For the purposes of applicable regulations, it is hereby stated that the territorial scope of the Promotion extends to the Community of Madrid. Accordingly, these Terms and Conditions shall be governed by the applicable regional and Spanish legislation. Failure by a participant to comply with any of the rules and provisions established in these Terms and Conditions will result in their immediate disqualification and exclusion from the Promotion and, where applicable, the loss of the Gift. 18. The participants and the Organiser agree that any disputes that may arise in connection with the interpretation or implementation of these Terms and Conditions shall be subject to the jurisdiction of the Courts and Tribunals of the city of Barcelona. 19.
