PRIVATE CLIENT GUEST PASS PROGRAMME — TERMS AND CONDITIONS

  1. The Organiser

1.1 The organiser is Value Retail Management Germany GmbH, Almosenberg 30, 97877 Wertheim ("we", "us" or the "Organiser").

  1. The Programme

2.1 The Private Client Guest Pass Programme (the "Programme") allows selected Private Clients of Wertheim Village (each a "Referrer") to share a personal guest pass (a "Guest Pass") with a friend or family member (a "Referred Guest"), entitling the Referred Guest, subject to these terms, to book a one-time hosted visit to the Apartment at Wertheim Village (the "Experience").

2.2 The Programme is invitation-only. Participation is at our discretion and receipt of an invitation or Guest Pass does not create any entitlement to any benefit other than as set out in these terms.

2.3 The Programme opens on 7 September 2026 and closes on 31 March 2027 (the "Programme Period"). Guest Passes issued but not redeemed by the end of the Programme Period will lapse.

  1. Referrers

3.1 Referrers are selected by us from Private Clients of Wertheim Village at our discretion. We may decline to issue Guest Passes to any person.

3.2 Each Referrer will receive a referral code to share with their chosen Referred Guest. The Referred Guest will then receive a Guest Pass.

3.3 Referrers do not receive any payment, gift, loyalty programme Stars or other reward under the Programme.

  1. Referred Guests

4.1 To redeem a Guest Pass, a Referred Guest must: (a) be aged 18 or over; (b) not currently be, and not previously have been (whether under a different account or email address), a member of The Bicester Collection loyalty programme, and must register as a new member using an email address not previously registered with us; (c) complete membership registration [at Level 1] using the unique referral link or QR code contained in the Guest Pass; and (d) contact the Private Client Services team within thirty (30) days of completing registration to request a booking for the Experience. For the avoidance of doubt, the Referred Guest is only required to make contact within this thirty (30) day period — the Experience itself may still take place after this period has elapsed, subject to availability.

4.2 Each Guest Pass admits the Referred Guest and one accompanying guest only, unless we agree otherwise in writing. A minor may act as the accompanying guest, provided they are accompanied and supervised throughout the visit by the adult Referred Guest or another responsible adult. Guest Passes are personal to the Referred Guest, have no cash or monetary value, are non-transferable and may not be sold, exchanged, auctioned, published or made available to the general public (including on social media or on voucher, discount or referral websites).

4.3 Employees of the Organiser and its group companies, and anyone professionally connected with the operation of the Programme, may not participate as Referred Guests.

  1. Booking and the Experience

5.1 The Experience is a one-time hosted visit to the Apartment at Wertheim Village only. The Experience is not available at any other location or private space.

5.2 All bookings must be requested at least forty-eight (48) hours before the Referred Guest's intended date of visit and are subject to availability and to the Apartment's capacity on the requested date. We will try to accommodate the Referred Guest's preferred date and time but cannot guarantee any particular date, time, duration, host or level of service. Further information about the Apartment Experience is set out in our applicable Terms and Conditions.

5.3 We will endeavour to make available the Experience and its associated benefits, which may include complimentary access to the Apartment, hands-free shopping, reserved parking and access to personal shopping services. The benefits comprising the Experience may vary depending on the date and time of the booking and the availability of resources, and will be provided at our discretion.

5.4 No purchase is necessary to receive or redeem a Guest Pass, and redeeming a Guest Pass does not oblige the Referred Guest or the Referrer to make any purchase.

  1. Data Protection

6.1 Each Guest Pass contains a unique referral code. Referral activity (including issue and redemption of Guest Passes and resulting membership registrations) is tracked so that each registration can be attributed to the relevant Referrer. Referred Guests who register as members will receive a welcome email containing contact details for the Private Client team.

6.2 Personal data is processed in accordance with our Privacy Notice. This includes personal data processed in connection with the issue and redemption of Guest Passes, membership registration, referral tracking and communications relating to the Experience.

  1. Fair Use

7.1 We may withhold, cancel or refuse to honour any Guest Pass, and may remove any person from the Programme, where we reasonably believe there has been fraud, abuse, self-referral, the use of false or duplicate identities or email addresses, or a breach of these terms.

  1. Changes, Suspension and Withdrawal

8.1 We may amend these terms, or suspend or withdraw the Programme, where necessary for reasons outside our reasonable control or to protect the integrity or fair operation of the Programme. If we do so, we will honour Guest Passes already issued unless it would be unlawful or impracticable to do so.

  1. Liability

9.1 We are liable without limitation for damages arising from injury to life, body, or health caused by an intentional or negligent breach of duty, and for any other damages caused by an intentional or grossly negligent breach of duty, or by fraudulent intent. Our liability under the Product Liability Act, and in the event we have assumed a guarantee, also remains unaffected.

9.2 For slightly negligent breaches of material contractual obligations (cardinal obligations) — obligations whose fulfilment is essential to the proper performance of the Programme and the Experience, and on whose observance participants may regularly rely — our liability is limited to the foreseeable damage typical for contracts of this kind at the time the contract was concluded.

9.3 In all other respects, our liability for slightly negligent breaches of duty is excluded.

9.4 The above limitations of liability apply equally in favour of our legal representatives, employees, and vicarious agents where claims are asserted directly against them.

9.5 Without prejudice to the paragraphs above, no liability is accepted for the availability, date, duration, host, or scope of service of the Experience. Sections 5.2 and 5.3 above remain unaffected. There is no entitlement to any particular date, duration, host, or to any individual additional services or benefits, unless expressly confirmed in the booking confirmation.

  1. General

10.1 These terms are governed by the law of the Federal Republic of Germany. Statutory provisions on jurisdiction remain unaffected. Mandatory statutory consumer rights remain unaffected.

10.2 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force
